01Parties & scope

This End User Licence Agreement ("EULA") is a legal contract between you (either an individual or the legal entity on whose behalf you accept this EULA) ("you", "your", or "Licensee") and Ghostables Ltd, a company registered in England & Wales ("Ghostables", "we", "us", "Licensor").

This EULA governs your use of the paid Ghostables WordPress plugin family, namely:

  • Ghostables for WordPress — the encryption plugin for WordPress and WooCommerce.
  • Ghostables Defender (paid tiers) — the active WordPress security plugin.

The free tier of Ghostables Defender ("Defender Lite"), distributed via wp.org, is licensed separately under the GNU General Public Licence v2 or later and is not subject to this EULA except where this EULA explicitly says so.

By purchasing, activating, installing, or using the Software, you agree to be bound by this EULA. If you do not agree to these terms, do not install or use the Software.

02Definitions

In this EULA the following terms have the following meanings:

  • "Software" means the Ghostables for WordPress plugin and/or the paid tiers of Ghostables Defender, including all updates, upgrades, patches, and accompanying documentation that we make available to you.
  • "Licence Key" means the alphanumeric string we issue to you upon purchase that authorises your use of the Software on the number of Sites permitted by your Tier.
  • "Tier" means the commercial tier you purchased (such as Solo, Business, or Enterprise) and the corresponding entitlements, site limits, and feature set.
  • "Site" means a single WordPress installation identified by its primary URL.
  • "Subscription Term" means the period during which your Licence Key is valid for activation, updates, and support, as defined by the billing cycle (monthly or annual) and Tier you purchased.
  • "Your Data" means the personal and other data that the Software processes within your WordPress installation, including customer records, order data, form submissions, and audit logs.
  • "Trust Mark" means the "Protected by Ghostables" visual badge available to paid Licensees.

03Licence grant

Subject to the terms of this EULA and your continuing payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence during the Subscription Term to:

  • Install, configure, and use the Software on the number of Sites permitted by your Tier;
  • Receive Software updates, security patches, and feature releases issued during your Subscription Term;
  • Display the Trust Mark on Sites where the Software is correctly installed and licensed in accordance with the rendering rules described in our documentation;
  • Receive product support from Ghostables in accordance with the support level defined by your Tier.

The licence granted in this section does not transfer ownership of any intellectual property to you. Your rights in the Software are limited to those expressly stated in this EULA.

04Restrictions

You must not, and must not permit anybody else to:

  • Use the Software on more Sites than your Tier permits, or share a single Licence Key between unrelated parties;
  • Resell, rent, lease, sublicense, distribute, or otherwise transfer the Software or Licence Key to any third party;
  • Copy, modify, translate, adapt, or create derivative works of the Software, except where this is permitted by applicable law or by an open-source licence covering a specific component (see Section 10);
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except where this is expressly permitted by applicable law and only to the extent of that permission;
  • Remove, alter, bypass, or interfere with any licence enforcement, signature verification, integrity check, telemetry, or update mechanism within the Software;
  • Remove or alter any copyright, trademark, or proprietary notice in the Software or its documentation;
  • Use the Software to violate any applicable law or the rights of any third party;
  • Display the Trust Mark on any Site or property that is not actively running a paid, valid installation of the Software;
  • Use the Software in any environment in which a failure of the Software could reasonably be expected to lead to death, personal injury, or environmental damage.
Why we are strict about licence enforcement. The Software contains cryptographic mechanisms whose integrity depends on it running unmodified. Attempts to bypass licence checks or modify the signed bundle can silently disable security features that protect your customers' data. We treat any such attempt as a material breach of this EULA and a security incident.

05Licence keys & activation

On purchase, we issue you a Licence Key by email. You enter the Licence Key into the Software on each Site you wish to activate. The Software contacts our licence server periodically to verify that the Licence Key is valid and active.

Each Tier permits a maximum number of concurrent active Sites. Deactivating a Site frees the corresponding seat and allows you to activate the Software on a different Site.

If our licence server cannot reach you (for example, because of a network outage, a server-side incident, or because you have allowed your subscription to lapse), the Software enters a degraded "read-only" mode in which encryption write paths are halted and pre-existing customer data remains decryptable on read. This is a deliberate safety design — it ensures that an expired licence cannot lock you out of your own customer records.

You are responsible for keeping your Licence Key confidential and for the security of the Sites on which you activate it.

06Subscription & renewal

Subscriptions are billed in advance on the monthly or annual cycle you select at purchase. Renewal is automatic at the end of each billing cycle unless you cancel before the renewal date.

You may cancel your subscription at any time from the Customer Dashboard at ghostables.io/dashboard. Cancellation takes effect at the end of the then-current billing cycle; you retain access to the Software, updates, and support until that date.

We may change the price of subscriptions from time to time. Where we do so, the new price will take effect at the next renewal following at least 30 days' written notice to you. If you do not accept the new price, you may cancel before the renewal date and your subscription will end on the existing terms.

If a payment fails, we will retry the payment in accordance with our payment provider's standard schedule. If we cannot collect payment within 14 days of the failed attempt, your Subscription Term ends and the Software enters the read-only mode described in Section 5.

07Updates & signed releases

During your Subscription Term, we make Software updates available to you through the in-WordPress updater. Updates may include new features, security fixes, performance improvements, and bug fixes.

All releases of the Software are cryptographically signed by Ghostables. The Software verifies the signature on each update before installing it. We strongly recommend that you keep the Software up to date; failure to apply security updates promptly may invalidate certain warranties and indemnities in this EULA.

We may from time to time discontinue a particular feature of the Software. Where the discontinuation materially reduces the functionality you originally purchased, we will give you reasonable notice and, where possible, a migration path.

08Refunds

We offer a full refund on any paid Tier within 14 days of your first purchase, no questions asked. To request a refund, email hello@ghostables.io from the email address associated with your account.

Refunds are not generally available on renewals — you have ample notice of an upcoming renewal and the ability to cancel before it triggers. We will, however, consider hardship cases sympathetically; please get in touch.

Refunds are processed to the original payment method within 14 days of approval.

09Your data & your customers

The Software processes Your Data inside your own WordPress installation. We do not receive, store, or have access to Your Data, including the contents of your customer records, order data, form submissions, or audit-log entries. The architecture is designed so that even if our servers were compromised, no protected customer data could be derived from what we hold.

You are the data controller for Your Data under UK GDPR. Where you process personal data about identifiable individuals using the Software, you remain responsible for ensuring that you have a lawful basis to do so, that you maintain appropriate records and notices, and that you respond to data-subject requests within the time limits required by law.

We collect only the operational metadata described in our Privacy Policy — licence key, plugin version, Site URL, and a heartbeat timestamp. We are the data controller for this operational metadata.

Cryptographic key material. The Software derives cryptographic key material inside your WordPress installation. This key material is required to decrypt protected customer data. You are solely responsible for ensuring that the key material is preserved (for example, through backups of your wp-config.php or the Ghostables key file). If you lose the key material, the corresponding protected customer records become unreadable. We cannot recover lost key material because we do not hold it.

10Open-source components

The Software incorporates a number of open-source components, each governed by its own licence. The full list, together with the applicable licence text, is included in the Software distribution under vendor/ and is also available on request.

Nothing in this EULA restricts or alters your rights in any open-source component beyond what the corresponding open-source licence permits. Where there is a conflict between this EULA and an applicable open-source licence in relation to a specific component, the open-source licence prevails for that component only.

The free tier of Ghostables Defender ("Defender Lite") is itself distributed under the GNU General Public Licence v2 or later. Modifications you make to Defender Lite are governed by the GPL and not by this EULA.

11Warranty disclaimer

We warrant that, for a period of 30 days from your initial purchase, the Software will substantially perform in accordance with its accompanying documentation when used as instructed. Your sole and exclusive remedy for breach of this warranty is, at our option, repair, replacement, or refund of the fees paid for the affected Subscription Term.

Except for the limited warranty in the preceding paragraph, and to the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment. We do not warrant that the Software will be uninterrupted, error-free, or absolutely secure against every form of attack.

Nothing in this Section limits or excludes any warranty or right that cannot be limited or excluded under applicable consumer law.

12Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, anticipated savings, business opportunity, data, or use, arising out of or in connection with this EULA or the Software, regardless of the cause of action and even if a party has been advised of the possibility of such damages.

Our aggregate liability to you under or in connection with this EULA, whether in contract, tort (including negligence), under statute, or otherwise, will not exceed the total fees you paid to us for the Subscription Term in which the cause of action arose.

Nothing in this EULA limits or excludes either party's liability for:

  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation;
  • Any other liability that cannot be lawfully limited or excluded.

13Indemnity

You will indemnify and hold us harmless from any third-party claim arising from:

  • Your breach of this EULA;
  • Your modification of the Software contrary to Section 4;
  • Your processing of personal data using the Software in violation of UK GDPR or any other applicable data-protection law;
  • Your use of the Software in an environment described in the final bullet of Section 4 (life-critical applications);
  • Any claim by a data subject whose data you process using the Software, where that claim relates to your acts or omissions rather than to a defect in the Software itself.

We will indemnify you against any third-party claim that your use of the Software in accordance with this EULA infringes that third party's intellectual property rights, subject to your prompt written notice of the claim, your reasonable cooperation in the defence, and our sole control of the defence and settlement. If a claim of infringement is made or appears likely, we may, at our option and expense, procure the right for you to continue using the Software, modify the Software so it no longer infringes, or refund the unused portion of your fees and terminate this EULA.

14Intellectual property

The Software, including all source code, object code, design, documentation, branding, marks, trade dress, the Trust Mark, and the cryptographic architecture and protocols on which the Software is based, is and remains the exclusive property of Ghostables Ltd and its licensors. Nothing in this EULA transfers any intellectual property rights to you except the limited licence expressly granted in Section 3.

The Ghostables word mark, the Ghostables logo, the Trust Mark, and "The Ghostables Standard" are trade marks of Ghostables Ltd. You may not use these marks except as expressly permitted by this EULA, by our brand guidelines, or with our prior written consent.

Feedback you provide to us about the Software (suggestions, bug reports, feature requests) is non-confidential. You grant us a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback for any purpose, including incorporation into the Software, without obligation to you.

15Termination

This EULA continues for the duration of your Subscription Term and any renewal thereof. Either party may terminate this EULA:

  • By giving written notice if the other party materially breaches this EULA and fails to cure the breach within 30 days of receiving written notice describing the breach in reasonable detail;
  • Immediately if the other party becomes insolvent, enters administration, or otherwise ceases to operate as a going concern.

You may terminate at any time by cancelling your subscription as described in Section 6.

On termination by either party for any reason:

  • Your right to install, activate, and use the Software ends;
  • Your right to receive updates, support, and to display the Trust Mark ends;
  • You must promptly uninstall the Software from every Site on which it is activated, using the in-plugin "Decrypt & Restore" flow to return your data to plaintext before removing the Software (failure to do so will leave your customer data unreadable);
  • Sections 4, 9, 10, 11, 12, 13, 14, this Section 15, and Sections 16, 17, 18, and 19 survive termination.

16Export controls

The Software contains cryptographic functionality and is subject to UK export control law, EU dual-use regulation 2021/821, and (where applicable) the US Export Administration Regulations. You confirm that you are not located in, and will not export, re-export, or otherwise make the Software available in:

  • Any country, region, or to any individual or entity subject to UK or US trade sanctions;
  • Any other jurisdiction where the supply of the Software would be unlawful.

You are responsible for compliance with the laws of any jurisdiction in which you install or use the Software.

17Changes to this EULA

We may update this EULA from time to time to reflect changes in our products, the legal landscape, or our business. Where we do so, we will publish the updated EULA at this URL, increment the version number, update the effective date in the header, and where the change is material, give you at least 30 days' notice by email before the new terms take effect.

If you do not accept a material change, you may cancel your subscription before the new terms take effect and your existing terms continue to apply for the remainder of the then-current Subscription Term.

18Governing law & jurisdiction

This EULA, and any dispute or claim arising out of or in connection with it (including non-contractual disputes), is governed by the laws of England & Wales.

Each party irrevocably agrees that the courts of England & Wales have exclusive jurisdiction to settle any such dispute or claim, save that we may bring proceedings against you in any other jurisdiction where you have assets or carry on business.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to this EULA.
